General Terms and Conditions – Santas Warehouse

These General Terms and Conditions apply to the use of the Santas Warehouse online store and to every order placed through Santas Warehouse.

Please read these General Terms and Conditions carefully before placing an order.

Nothing in these General Terms and Conditions excludes, restricts or limits any mandatory consumer right or remedy that cannot lawfully be excluded, restricted or limited.

Santas Warehouse is the seller and the customer's point of contact for orders placed through the online store, including where an order is processed or shipped by an external supplier, carrier or international fulfilment warehouse.

2. Applicability

These General Terms and Conditions apply to:

  • every offer made by Santas Warehouse;
  • every order placed through the online store;
  • every distance contract between Santas Warehouse and a consumer; and
  • all products, services, promotions and offers from Santas Warehouse.

Before completing an order, the customer will be given the opportunity to view and save these General Terms and Conditions.

If additional product-specific or promotional conditions apply alongside these terms, those additional conditions will also apply. In the event of a conflict, the provision that gives the consumer the greatest mandatory legal protection will prevail.

Any deviation from these General Terms and Conditions is valid only if agreed in writing with Santas Warehouse.

3. Customers Under the Age of 18

By placing an order, the customer confirms that they have the legal capacity to enter into the agreement.

A customer under the age of 18 confirms that they have obtained the consent of a parent or legal guardian where such consent is required by law.

Santas Warehouse may refuse or cancel an order where it reasonably appears that a minor placed the order without the required consent.

4. Offers and Formation of the Agreement

Each offer will contain as complete and clear a description as reasonably possible of:

  • the product offered;
  • its main characteristics;
  • the price;
  • any shipping costs;
  • the expected processing time;
  • the expected delivery time; and
  • any restrictions on use or safety warnings.

The agreement is formed after the customer has placed the order, accepted the applicable terms and Santas Warehouse has electronically confirmed the order.

Santas Warehouse may refuse or cancel an order before shipment where:

  • there is an obvious pricing, input or data-entry error;
  • the product unexpectedly becomes unavailable;
  • the payment details cannot be verified;
  • payment has not been received or has been reversed;
  • there appears to be fraud, abuse or resale contrary to these terms;
  • delivery to the address provided is not possible; or
  • fulfilling the order would be unlawful.

If an order that has already been paid for is cancelled, the amount paid will be refunded as soon as reasonably possible using the original payment method.

5. Product Information and Images

Santas Warehouse makes every reasonable effort to display products, dimensions, materials, functions, colours and accessories as clearly and accurately as possible.

Product images are for illustrative purposes. Colours or minor visual details may differ due to screen settings, lighting, photography, production differences and different product batches.

Minor differences that do not affect the product's normal operation, safety or main characteristics do not automatically constitute a defect.

The customer is responsible for checking:

  • dimensions and product specifications;
  • suitability for the intended use;
  • compatibility with other devices or accessories;
  • the components included;
  • product instructions and warnings; and
  • any contraindications.

The customer's responsibility to check this information does not limit Santas Warehouse's obligation to supply a product that is safe, conforms to the agreement and is suitable for any particular purpose that the customer expressly disclosed and Santas Warehouse accepted before purchase.

Obvious typographical, programming or pricing errors are not binding on Santas Warehouse. If it should reasonably have been clear that a price or product description was incorrect, Santas Warehouse may cancel the order and refund any amount already paid.

6. Nature of the Products

Santas Warehouse sells, among other things, Christmas gifts, seasonal decorations, lighting, household and decorative items, electrical, battery-powered and rechargeable products, non-electrical products and, where offered, products relating to self-care, personal care, relaxation, wellness, comfort, appearance and support for a daily routine.

Unless expressly stated otherwise for a specific product, the products are not intended for:

  • making a medical diagnosis;
  • treating or curing a disease;
  • replacing medical care;
  • replacing prescribed medication;
  • preventing a medical condition; or
  • professional medical use.

Product information, advertisements, instructions and customer-service communications from Santas Warehouse do not constitute personalised medical advice.

Where a product is legally marketed as a medical device, the manufacturer's specific product information, certification, instructions and authorised claims will apply.

For medical devices, Santas Warehouse will use only claims that are permitted for the relevant product and supported by the manufacturer.

Decorative products are not toys unless they are expressly described and labelled as toys. Products must not be used for climbing, load-bearing, protection, safety-critical purposes or food contact unless they are expressly designed and sold for that purpose.

7. Individual Results

Results from self-care, wellness and personal-care products may vary between individuals.

Results may be affected by, among other things:

  • skin type;
  • hair type;
  • age;
  • physical characteristics;
  • frequency of use;
  • duration of use;
  • individual sensitivity;
  • lifestyle;
  • correct use;
  • use in combination with other products; and
  • medical circumstances.

Santas Warehouse does not guarantee any specific personal, cosmetic, physical or subjective result unless a specific characteristic is expressly guaranteed in writing.

Failure to achieve a personally desired result does not automatically mean that the product is defective. This does not affect the customer's statutory rights where the product lacks a characteristic that was expressly promised or otherwise fails to conform to the agreement.

8. Safe and Proper Use

The customer must use every electrical and non-electrical product in accordance with:

  • the supplied user instructions;
  • the information on the product page;
  • warnings on the product or packaging;
  • reasonable safety precautions; and
  • the manufacturer's instructions.

A product must not be used:

  • for a purpose other than the purpose for which it was designed;
  • when it is visibly damaged, incomplete, unstable or subject to a safety warning or recall;
  • with damaged cables, connections, batteries or components;
  • in combination with unsuitable accessories or replacement parts;
  • contrary to the instructions or stated environmental limitations; or
  • by a person for whom the product is unsuitable according to its warnings.

Electrical products must only be used with the stated voltage, plug type, power supply, battery, adapter, charger and cable. Unless expressly rated for such conditions, they must be kept away from water, excessive moisture, open flames, combustible materials, excessive heat and obstructed ventilation.

Non-electrical products must be assembled, installed, mounted, placed, secured, maintained, cleaned and stored in accordance with the instructions. Any stated age, weight, load, temperature and indoor or outdoor limitations must be observed. Small, sharp, loose or breakable parts and packaging materials must be kept away from children and pets where choking, ingestion, entanglement or injury could reasonably occur.

Stop using the product immediately if you experience or observe:

  • pain;
  • burning;
  • unusual heat;
  • skin irritation;
  • swelling;
  • dizziness;
  • shortness of breath;
  • an allergic reaction;
  • a defect;
  • instability, breakage or loose components;
  • smoke, sparks, leakage or a burning smell; or
  • any other unexpected or serious symptom or safety issue.

Where safe to do so, switch off and disconnect an electrical product from its power source. Seek medical attention from a doctor or another qualified healthcare professional in the event of serious physical symptoms.

9. Medical Conditions and Contraindications

Customers must take particular care before using products involving heat, infrared light, red light, electrical current, vibration, pressure, massage, vacuum or other physical stimulation.

Consult a doctor or another qualified healthcare professional before use where the product instructions recommend doing so or where the customer has, for example:

  • a pregnancy;
  • a pacemaker or another implanted electronic device;
  • epilepsy;
  • a heart or vascular condition;
  • a circulation problem;
  • diabetes or reduced sensation;
  • photosensitivity;
  • medication that causes photosensitivity;
  • an active skin condition;
  • an open wound;
  • inflammation;
  • a recent operation;
  • severe or unexplained pain; or
  • another relevant medical condition.

Products must not be used on damaged, irritated, burned or inflamed skin unless the manufacturer expressly states that such use is safe.

A general product description never replaces product-specific warnings and instructions for use.

10. Personal-Care Products and Skin Contact

For products that come into direct contact with the skin, face, hair or other parts of the body, the customer is responsible for careful and hygienic use.

Where a product contains ingredients or personal-care substances, the customer must check the ingredient list before use for any known allergy or sensitivity.

Where appropriate, we recommend testing a new skincare product on a small area of skin first and discontinuing use if irritation occurs.

To the fullest extent permitted by applicable law, Santas Warehouse is not responsible for an allergic or sensitivity reaction that was not caused by a product defect or by inaccurate, misleading or missing information that Santas Warehouse was legally required to provide.

11. Electrical and Rechargeable Products

Electrical, heated, illuminated, battery-powered and rechargeable products must only be used with a suitable power supply, adapter, cable, battery, charger and voltage.

Unless expressly stated otherwise, an electrical product must not:

  • be used in or near water;
  • be stored while wet;
  • be left unattended while charging;
  • be used with a damaged battery, cable, plug, casing or connection;
  • be opened, dismantled, modified or repaired by the customer or an unauthorised third party;
  • be exposed to extreme heat, open flames or combustible materials;
  • be covered where ventilation is required;
  • be overloaded or connected to an unsuitable power source;
  • be used in a country, environment or electrical installation with which it is not expressly compatible; or
  • be used for longer than recommended in the instructions.

Do not use non-original or technically unsuitable adapters, chargers, batteries, cables or components where this may cause danger, overheating, fire, electrical damage or product damage.

Normal reduction in battery capacity due to age and use is considered normal wear and tear unless the reduction occurs unusually quickly or is caused by a defect.

The customer must inspect electrical products before use and must immediately stop using a product that becomes unusually hot, swells, leaks, smokes, sparks, smells of burning, exposes wiring or behaves abnormally.

These use obligations do not reduce Santas Warehouse's duty to supply safe and conforming electrical products.

12. Children and Pets

Products may be used by children only where it is clearly stated that the product is suitable for the relevant age group.

Where necessary, products, small components, batteries, cords and packaging materials must be kept out of the reach of children and pets.

Children may use electrical, heated, small or mechanical products only under appropriate adult supervision and only where permitted by the instructions.

To the fullest extent permitted by applicable law, Santas Warehouse is not liable for damage or injury caused by use without appropriate supervision or contrary to age restrictions, safety warnings or the intended purpose, unless the damage is attributable to an unsafe or defective product or another breach by Santas Warehouse.

13. Professional and Commercial Use

Unless expressly stated otherwise, the products are intended for personal and household use.

Use in a salon, practice, gym, care institution or other professional or commercial environment is permitted only where the product is suitable and intended for that use.

Different safety, maintenance, guarantee and legal requirements may apply to professional, repeated or intensive use.

To the fullest extent permitted by law, Santas Warehouse is not responsible for damage caused by professional, commercial or unusually intensive use of a consumer product that was not designed or advertised for such use.

14. Prices

All prices on the Dutch storefront are displayed in euros and include VAT unless clearly stated otherwise.

Any shipping charges and other mandatory costs will be shown before the order is completed.

Santas Warehouse may change prices and offers. A change will not affect an order that has already been confirmed, except where there is an obvious error.

Discount codes:

  • may have a limited validity period;
  • may only be used under the stated conditions;
  • cannot be exchanged for cash;
  • may not always be combined with other promotions; and
  • may be blocked or cancelled in the event of misuse.

15. Payment

The available payment methods are shown during checkout.

The customer is responsible for providing correct payment and billing information.

An order will generally be processed only after:

  • payment has been received successfully; or
  • a payment provider has approved the payment.

Where payment is made through an external payment service, that service provider's terms may also apply.

Santas Warehouse may temporarily place an order on hold while a payment is being reviewed for fraud, chargebacks or unusual activity.

An unjustified reversal or chargeback does not release the customer from their payment obligations where the order was correctly delivered and no right to a refund exists.

This does not limit the customer's right to dispute a payment where an order was not delivered, does not conform to the agreement or a refund is wrongfully withheld.

16. International Processing and Shipping

Santas Warehouse sells products to customers in multiple countries.

Orders may be processed and shipped directly from an international fulfilment or distribution warehouse outside the European Union.

Before completing the order, the customer will be informed about:

  • the international origin of the shipment;
  • the expected processing time;
  • the expected delivery time; and
  • any known additional charges.

Packaging, carrier, shipping route and tracking information may vary by product or order.

Products from a single order may be delivered in several parcels and at different times.

Santas Warehouse remains responsible to the customer for proper performance of the order even where an external supplier, manufacturer, fulfilment provider or logistics provider is engaged.

17. Import Duties and Customs Charges

For international deliveries, local authorities may impose import duties, import VAT, customs-clearance charges or other levies.

Unless these charges are expressly stated to be included, local authorities or the carrier may charge them to the recipient.

Santas Warehouse has no control over the amount or assessment of such charges.

The customer is responsible for checking the import rules of the destination country.

If Santas Warehouse did not clearly inform the customer in advance about additional charges that were reasonably foreseeable, the customer's statutory rights remain applicable.

18. Processing and Delivery

Orders will be processed within the period stated on the website or product page.

Any stated delivery time is an estimate and not a guaranteed delivery date unless a fixed delivery date has expressly been agreed.

Santas Warehouse will inform the customer if it becomes aware that an order will be significantly delayed.

If no other delivery period has been agreed, the order will be delivered no later than the period required by applicable law.

If the agreed delivery period is exceeded, the customer may give Santas Warehouse a reasonable additional period in writing in which to deliver. If delivery still does not take place, the customer may terminate the agreement to the extent permitted by law.

An order may be cancelled immediately where delivery before a specific date was essential, the customer clearly communicated that requirement in advance and Santas Warehouse accepted it.

19. Delay

Delay may be caused by, among other things:

  • carrier congestion;
  • customs inspections;
  • import procedures;
  • public holidays;
  • weather conditions;
  • strikes;
  • local disruptions;
  • incorrect address information;
  • international transport problems;
  • safety inspections; or
  • government measures.

The mere occurrence of a delay does not release Santas Warehouse from its statutory delivery obligations.

To the fullest extent permitted by applicable law, Santas Warehouse is not liable for loss caused solely by a limited delay outside its reasonable control, unless the loss results from fraud, wilful misconduct, deliberate recklessness, gross negligence where applicable, or another liability that cannot lawfully be excluded.

20. Risk During Shipping

The risk of loss of or damage to goods during shipping arranged by Santas Warehouse remains with Santas Warehouse until the customer, or a third party designated by the customer other than the carrier, has physically received the product.

If the customer independently selects a carrier that was not offered by Santas Warehouse, risk may pass when the product is handed over to that carrier, to the extent provided by applicable law.

The customer should report visible shipping damage as soon as possible. Failure to report shipping damage immediately does not automatically remove the customer's statutory rights.

21. Incorrect Delivery Address

The customer is responsible for entering the following information completely and correctly:

  • the recipient's name;
  • street name;
  • house number and any addition;
  • postcode;
  • city or town;
  • country; and
  • telephone number and email address, where requested.

If there is an error in the delivery address, contact info@santas-warehouse.com as soon as possible.

Once the order has been processed or shipped, Santas Warehouse cannot guarantee that the address can still be changed.

If an order must be returned or reshipped due to an address issue caused by the customer, reasonable additional shipping and processing charges may be charged to the extent permitted by applicable law.

22. Order Not Received

If tracking states that an order was delivered but the customer has not received it, the customer should:

  • verify the delivery address;
  • ask household members and neighbours;
  • check possible safe delivery locations; and
  • contact Santas Warehouse as soon as possible.

Santas Warehouse may open an investigation with the carrier and ask the customer for additional information or a written statement.

A refund or replacement shipment may be assessed after a sufficient investigation has been carried out. The customer's statutory rights remain applicable throughout this process.

23. Right of Withdrawal and Returns

The separate Return and Refund Policy of Santas Warehouse applies to the statutory right of withdrawal, return conditions, return costs, hygiene exceptions and refunds.

That policy forms part of these General Terms and Conditions.

An order may be delivered from an international warehouse. Where Santas Warehouse is established in the Netherlands, a consumer exercising a statutory right of withdrawal will be offered a return address in the Netherlands.

Returns should be registered in advance at info@santas-warehouse.com and sent in accordance with the return instructions provided. This administrative registration requirement does not invalidate a clear and timely exercise of a statutory right of withdrawal.

The customer must not send a return without instructions to the address on the original international shipping label. That address may only be a shipping, sorting or fulfilment location that does not process returns.

24. Hygiene Products

For sealed products that are not suitable for return for health-protection or hygiene reasons, the right of withdrawal may cease after the seal has been broken.

Depending on the product and the type of seal, this may apply to products that come into direct contact with:

  • the skin;
  • the face;
  • the mouth;
  • the hair;
  • parts of the body; or
  • bodily fluids.

This exception applies only where:

  • the product was actually sealed upon delivery;
  • the seal was applied for health-protection or hygiene reasons; and
  • it was made clear in advance that the right of withdrawal would cease once the seal was broken.

A defective, damaged or incorrectly supplied product cannot be rejected solely on the basis of this exception. The hygiene exception does not remove any separate statutory remedy for a non-conforming product.

25. Statutory Guarantee and Conformity

Santas Warehouse warrants that a delivered product will conform to the agreement and possess the characteristics that the customer may reasonably expect.

The customer is entitled to a remedy free of charge where a product was defective upon delivery or does not correspond to what was agreed.

Depending on the circumstances and applicable mandatory law, the remedy may consist of:

  • repair;
  • replacement;
  • supplying a missing component;
  • a price reduction; or
  • termination and a refund.

Santas Warehouse may first offer repair or replacement where this is possible, reasonable and not disproportionately costly, unless applicable law gives the customer an immediate right to another remedy.

Any commercial manufacturer's or seller's warranty is additional to the statutory guarantee and does not limit the consumer's statutory rights.

26. Guarantee Exclusions

A guarantee claim may be excluded to the extent that the problem was caused by:

  • normal wear and tear;
  • normal reduction in battery capacity;
  • incorrect, unsafe or careless use;
  • use contrary to the instructions;
  • dropping, impact or pressure damage;
  • water or moisture damage to a product that is not water-resistant;
  • use of unsuitable chargers, power supplies, batteries, cables or accessories;
  • insufficient cleaning or maintenance;
  • repairs, dismantling or modifications carried out by the customer or an unauthorised third party;
  • removed serial numbers or product labels;
  • professional or commercial use of a consumer product;
  • incorrect assembly, mounting, installation, placement or storage;
  • overloading, blocked ventilation, flame, excessive heat or exposure to conditions for which the product was not designed; or
  • damage occurring after receipt that was not caused by an original defect.

A guarantee exclusion does not apply where the relevant use or damage did not cause the defect, where the product was already defective or unsafe, or where the exclusion would conflict with mandatory consumer law.

27. Defective, Damaged or Incorrectly Supplied Products

A defective, damaged, incomplete or incorrectly supplied product should be reported as soon as possible at info@santas-warehouse.com.

Please include:

  • the order number;
  • a description of the issue;
  • photographs or a video of the product;
  • photographs of the packaging and shipping label, where relevant; and
  • the serial number or batch number, where available.

Do not continue using a product that may be unsafe or damaged.

Santas Warehouse may investigate the cause and may request additional reasonable information. A request for evidence does not remove or unreasonably delay a mandatory consumer remedy.

Where the product does not conform to the agreement, necessary return, repair or replacement costs will not be charged to the customer.

28. Product Safety and Recalls

Santas Warehouse sells only products that, based on the information available, are expected to comply with the applicable product-safety requirements.

If Santas Warehouse discovers or reasonably suspects that a product presents a safety risk, Santas Warehouse may or, where legally required, will:

  • stop selling the product immediately;
  • warn customers directly;
  • provide additional safety instructions;
  • arrange for a product to be modified, repaired or replaced;
  • instruct customers to stop using the product;
  • carry out a product recall; and
  • notify the competent authorities.

The customer must follow reasonable safety and recall instructions.

In the event of an official safety recall, customers will be offered an appropriate statutory remedy free of charge.

No disclaimer, limitation of liability or allocation of responsibility in these terms reduces any product-safety, notification, corrective-action or recall obligation imposed on Santas Warehouse by applicable law.

29. Liability

Santas Warehouse is liable for direct and reasonably foreseeable loss that is demonstrably caused by an attributable breach, negligence or defective product to the extent that such liability cannot lawfully be excluded or limited.

To the fullest extent permitted by applicable law, Santas Warehouse is not liable for loss, damage, injury, fire, electrical damage, property damage, incompatibility, an allergic or sensitivity reaction or other consequences to the extent caused by:

  • use contrary to the user instructions, product page, labels or safety warnings;
  • ignored warnings or continued use after a defect, damage, unusual heat, smoke, sparks, leakage, instability or another warning sign became apparent;
  • use for an unsuitable or unintended purpose;
  • incorrect assembly, installation, mounting, placement, operation, cleaning, maintenance or storage;
  • use with an unsuitable power supply, voltage, plug, adapter, charger, battery, cable, liquid, accessory or replacement part;
  • unauthorised dismantling, modification or repair;
  • dropping, impact, excessive force, overloading, blocked ventilation, water, moisture, weather exposure, open flame, heat or other external conditions for which the product was not designed;
  • use by or around children or pets without required supervision or contrary to an age restriction;
  • failure to stop use promptly in the event of pain, irritation, an allergic reaction, overheating or a defect;
  • incorrect or incomplete information supplied by the customer;
  • professional, commercial or unusually intensive use of a product intended for personal or household use;
  • normal wear and tear, normal battery degradation or depletion of consumable components; or
  • natural variations in colour, texture, finish or material that do not constitute a defect.

To the fullest extent permitted by applicable law and subject to the non-excludable liabilities below:

  • Santas Warehouse is not liable for indirect, incidental, special, exemplary, punitive or consequential loss or damage;
  • Santas Warehouse is not liable for loss of profit, revenue, business, opportunity, goodwill, anticipated savings or data;
  • Santas Warehouse is not liable for loss that was not reasonably foreseeable when the agreement was formed;
  • Santas Warehouse's total aggregate liability arising from or relating to a product, order or agreement will not exceed the amount paid for the affected product or, if greater, the minimum amount of liability required by applicable law; and
  • the customer must take reasonable steps to prevent or reduce avoidable loss.

Santas Warehouse is not responsible for temporary website unavailability, interruptions, data transmission errors, third-party links, payment systems, carrier systems or other third-party services to the extent that the issue is outside Santas Warehouse's reasonable control. This does not remove Santas Warehouse's responsibility for properly performing the sales agreement or for selecting and instructing third parties with reasonable care.

These limitations apply regardless of whether a claim is based on contract, tort, negligence, strict liability or another legal basis, but only to the extent that the relevant limitation is lawful in the customer's jurisdiction.

The limitations and exclusions in these General Terms and Conditions do not apply to:

  • fraud, fraudulent misrepresentation or wilful misconduct by Santas Warehouse;
  • deliberate recklessness or gross negligence where liability cannot lawfully be limited;
  • death or personal injury for which Santas Warehouse is legally liable;
  • mandatory product liability for an unsafe or defective product;
  • a statutory consumer guarantee or remedy that cannot lawfully be excluded, restricted or limited; or
  • any other liability that applicable law does not permit Santas Warehouse to exclude or limit.

If a jurisdiction does not allow a particular exclusion, limitation or liability cap, that provision will apply only to the maximum extent permitted there. Nothing in these terms shortens a statutory limitation period, reverses a statutory burden of proof or requires a consumer to waive a mandatory right.

Australian Customers

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

EU and EEA Customers

EU and EEA consumers retain all mandatory rights relating to pre-contractual information, withdrawal, delivery, conformity, remedies, product safety and unfair contract terms. No provision of these General Terms and Conditions is intended to exclude or restrict those rights.

Customers in Other Jurisdictions

Some countries, states or provinces do not allow certain exclusions or limitations of warranties, remedies or liability. In those jurisdictions, the relevant exclusion or limitation applies only to the fullest extent permitted by law, and all non-waivable local consumer rights remain unaffected.

30. Duty to Limit Further Damage

The customer must take reasonable steps to prevent further damage.

If a product smokes, overheats, leaks, is damaged, becomes unstable or functions abnormally, the customer must stop using it immediately and, where safe to do so, disconnect it from the power supply and move away from any immediate hazard.

Damage that becomes unnecessarily greater because clear safety warnings were ignored may remain the customer's responsibility to the extent permitted by law.

This duty does not shift responsibility for an unsafe, defective or non-conforming product to the customer.

31. Complaints

Complaints may be submitted to:

info@santas-warehouse.com

Please include:

  • your name and contact details;
  • the order number;
  • a clear description of the complaint;
  • the solution requested; and
  • relevant evidence, such as photographs or videos.

Santas Warehouse will confirm receipt of the complaint and aims to provide a substantive response within 14 days.

If more time is required, the customer will receive an indication of the expected further handling within that period.

32. Abuse and Fraud

Santas Warehouse may take reasonable measures against fraud and abuse.

This may include, among other things:

  • knowingly providing false information;
  • falsely reporting that a product was not received;
  • returning a different product;
  • manipulating photographs or evidence;
  • unauthorised use of payment details;
  • systematic misuse of discount codes;
  • threatening or intimidating employees; or
  • placing orders with the intention of abusing chargebacks.

Where there is a reasonable suspicion of fraud, Santas Warehouse may temporarily investigate an order or refund.

Santas Warehouse may block accounts, refuse orders and report suspected criminal conduct to the appropriate authorities where necessary. Statutory consumer rights will not be restricted without a valid reason.

33. Intellectual Property

All text, product photographs, videos, logos, designs, trade names, manuals and other website content are owned by Santas Warehouse or used with permission.

Without prior written permission, this content may not be:

  • used commercially;
  • copied;
  • modified;
  • published;
  • distributed;
  • resold; or
  • used for advertisements or competing online stores.

A copy may be made for strictly personal, non-commercial use to the extent permitted by law.

34. Force Majeure

Santas Warehouse is not required to perform immediately where performance becomes temporarily or permanently impossible due to circumstances outside its reasonable control.

Force majeure may include, among other things:

  • natural disasters;
  • fire;
  • war or terrorism;
  • epidemics and pandemics;
  • strikes;
  • cyberattacks;
  • payment-provider outages;
  • internet or software-system failures;
  • government measures;
  • import and export restrictions;
  • customs blockages;
  • transport disruptions; or
  • prolonged failure by suppliers or carriers.

Santas Warehouse will inform the customer as soon as reasonably possible where force majeure materially affects performance.

If performance becomes permanently impossible or is delayed for an unreasonably long period, Santas Warehouse and the customer may terminate the affected agreement. Amounts already paid for products that have not been delivered will be refunded.

Force majeure does not exclude any right or remedy that applicable law makes mandatory.

35. Privacy

Santas Warehouse processes personal data in accordance with its separate Privacy Policy and applicable privacy laws.

Personal data may be shared with parties where necessary for:

  • payment;
  • shipping;
  • fulfilment;
  • customer service;
  • fraud prevention;
  • administration; or
  • compliance with legal obligations.

36. Changes to These Terms

Santas Warehouse may amend these General Terms and Conditions where necessary due to:

  • changes in the law;
  • changes in business operations;
  • new products or services;
  • new payment or delivery methods;
  • safety reasons; or
  • clarification of existing provisions.

The version available at the time of ordering will apply to that order.

No amendment will be applied retroactively where this would adversely affect the customer's statutory rights.

37. Invalid or Unenforceable Provisions

If any provision of these General Terms and Conditions is found to be wholly or partly invalid, voidable or unenforceable, the remaining provisions will continue in effect.

The invalid provision will, where possible, be limited or replaced by a valid provision that most closely reflects the purpose and meaning of the original provision without limiting the consumer's statutory rights.

38. Governing Law

Agreements with Santas Warehouse are governed by Dutch law.

This choice of law does not deprive a consumer living in another country of the protection of mandatory consumer rules that apply under the law of the consumer's country of residence.

39. Disputes

Santas Warehouse and the customer will first attempt to resolve any dispute directly.

If no solution is reached, the dispute may be submitted to the court that has jurisdiction under applicable law.

These terms do not require a consumer to bring proceedings exclusively before a Dutch court where European or national consumer law gives the consumer the right to bring proceedings elsewhere.
